Subject : Report on Utilization of the Fund Raised from the exercise of
          warrants (ESOP)

To : Director and Managing Director of the Stock Exchange of Thailand

As SiS Distribution (Thailand) Public Company Limited had received the fund
raised from the exercise of warrants (ESOP) during September 26 - 30, 2005 of
Baht 693,750.  The company would like to disclose that the entire fund has been
used as the Company's working capital.
